Purpose of Use
Grinnell Mutual Reinsurance Company (“Grinnell”) is providing our policyholder customers with a means of accessing and using the IntelliCorp employment background screening service (“IntelliCorp”). The IntelliCorp website is to be solely used for assessment purposes in screening candidates for employment by the policyholder (“you”). You agree that the IntelliCorp website will not be used for any purpose unrelated to the conduct of your business. You are prohibited from using IntelliCorp services on behalf of other persons, associations, or business entities. Any information obtained from the IntelliCorp website must be held in strict confidence, and must not be disclosed to persons within your business who do not have a legitimate operational need for the information. After the employment candidate screening process has been concluded, you agree to destroy any information obtained from the IntelliCorp website pertaining to an individual not hired by you. You are expressly prohibited from seeking background information from the IntelliCorp website pertaining to persons who have not submitted an application for employment with your business.

Any link provided by Grinnell to the IntelliCorp website or to any other webpages is provided solely for your convenience. Grinnell does not maintain, control, approve, endorse, or continually review these websites, or the services, products or data contained or obtained therein, and these websites are in no way intended to represent an exhaustive listing of service providers that may be useful to you. Grinnell makes no warranties or representations express or implied, regarding the content, data, services, or offers contained in these websites. Grinnell assumes no legal liability or responsibility for losses or damages resulting in any way from the information contained in these websites.
Access Code
Grinnell or your agent will provide you with an access code for use of the IntelliCorp website. You are fully responsible for the security of your access code. You agree not to allow anyone to gain access to the IntelliCorp site or to allow anyone outside of your business to know your access code. If you become aware of the unauthorized use of your access code or other security breach, you agree to immediately inform Grinnell and IntelliCorp. You further agree and understand that you are solely responsible for the persons at your business who use your access code. Grinnell reserves the exclusive right to withdraw your right to use the access code, should you or your employees not comply with any provision of this Terms of Use agreement.
Written Consent
The applicant for employment must first grant written permission to you to obtain criminal, sexual, and/or terrorist background information regarding the applicant. You agree that the background screening services provided by IntelliCorp will be used only after written authorization has been first acquired from the employment applicant. The content of the written authorization must fully comply with any applicable local or state laws regulating the employment screening process and the use of such information. You are encouraged to consult with a local lawyer for the purpose of composition of the written consent form.
Compliance with Local Employment Laws
The right to conduct pre-employment background screenings is governed by the laws of your state. As a condition to the grant of an access code for use of the IntelliCorp website, you agree to fully comply with all applicable laws of your state and locality pertaining to the use of criminal, sexual, and terrorist background information in the employment screening process. You will ensure that your employees will also comply with relevant laws on the subject. Grinnell strongly recommends that you seek local legal counsel to provide advice concerning the right to use and limits imposed on use of background information during the screening process.
Disclosure of Information to Applicant
An applicant for employment with your business may request a copy of any background information or report supplied by IntelliCorp. If such a request is submitted to you, you agree to furnish a copy of the report to the employment applicant in a timely manner.
Choice of Law
The laws of the State of Iowa and the United States govern these Terms of Use. Any suit or other action relating to the construction, breach, or enforcement of this Terms of Use agreement must be brought in the District Court of Poweshiek County, Iowa, or the United States District Court for the Southern District of Iowa in Des Moines, Iowa.
Trademarks and Copyrights
All trademarks, service marks, trade names, logos, and icons are proprietary to Grinnell Mutual Reinsurance Company and IntelliCorp. Nothing contained on the website should be construed as granting any license or right to use any trademark displayed on the website without the written permission of Grinnell Mutual Reinsurance Company or IntelliCorp.
Images displayed on the website are either the property of or used with permission by Grinnell Mutual or IntelliCorp. The use of these images by you, or anyone authorized by you, is prohibited unless specifically permitted by Grinnell Mutual or IntelliCorp in writing. Any unauthorized use of the images may violate copyright laws, trademark laws, the law of privacy and publicity, and communications regulations and statutes.

YOU EXPRESSLY AGREE TO HOLD HARMLESS AND INDEMNIFY GRINNELL FROM:
(1) ANY IMPROPER OR ILLEGAL USE OF INFORMATION OBTAINED FROM THE INTELLICORP WEBSITE;
(2) ANY CLAIM OR SUIT BROUGHT BY AN APPLICANT FOR EMPLOYMENT OR AN EMPLOYEE OF YOU OR YOUR BUSINESS ARISING FROM A VIOLATION OF ANY LAW OR REGULATION PERTAINING TO THE USE OF BACKGROUND SCREENING INFORMATION; AND
(3) ANY CLAIM OR SUIT BROUGHT BY AN APPLICANT FOR EMPLOYMENT OR AN EMPLOYEE OF YOU OR YOUR BUSINESS FOR DEFAMATION OF CHARACTER ARISING FROM THE DISSEMINATION OR PUBLICATION OF INFORMATION OBTAINED FROM THE INTELLICORP WEBSITE OR FOR WRONGFUL CONSIDERATION OF SUCH INFORMATION IN THE EMPLOYMENT DECISION.
By affixing your electronic signature, you affirm that you have read the provisions of this Terms of Use agreement, that you understand these terms, that you freely sign this agreement as an indication of your consent to and compliance with those terms, and that you are authorized by your business to execute this agreement on its behalf.
